Updates to Memorandum of Understandings Entered Into By The Group / 集團所簽訂之諒解備忘錄之狀況更新

The Board of Directors (the “Board”) of Regal International Group Ltd. (the “Company”) together with its subsidiaries (the “Group”) refers to the memorandum of understandings (“MOUs”) and/or agreements entered into and announced by the Group from April 2016 till March 2017 via SGXNet, which has yet been provided with updates on its developments.

The updates of the MOUs and/or agreements are as follows:

19 Apr 2016 19 Apr 2016 The Company’s subsidiary, Regal Lands Sdn. Bhd. signed MOU with Malaysian Innovation Hub (MIH) to jointly explore opportunities to develop and commercialize innovations identified by MIH.

公司之子公司,Regal Lands Sdn. Bhd. 與Malaysia Innovation Hub 馬來西亞創新中心 (簡稱 “MIH”) 簽訂諒解備忘錄,聯手探討將MIH所篩選之創意作商業化開發的機會。

No expiry on the MOU. Long-term strategic collaborations which can be activated as and when appropriate opportunities arise.

諒解備忘錄並無期限。此乃長期的戰略性合作,可在適當契機出現時啟動。

The Company signed MOU with The Destination Lab LLP, ONG&ONG Pte. Ltd. and Kingsmen Exhibits Pte. Ltd. to explore opportunities to own, develop and operate a sustainable eco-resort destination and vacation community in Sarawak, Malaysia.

公司與The Destination Lab LLP、ONG&ONG Pte. Ltd. 及Kingsmen Exhibits Pte. Ltd. 簽署諒解備忘錄,探討於馬來西亞砂嶗越擁有、開發及運營一個生態度假勝地與度假社區之可能性。

The target sites near Kuching, Sarawak were assessed to be commercially unviable to own, develop and operate as a resort destination. Hence, the MOU has already lapsed in October 2016.

鄰近砂嶗越古晉的目標地段,經商業評估後,不適於擁有、開發及運營度假勝地。因此,諒解備忘錄已於2016年10月失效。

The Company’s subsidiary, Million Sunray Sdn. Bhd. entered into Heads of Agreement (HOA) with the China – Malaysia Qinzhou Industrial Park (CMQIP) Administrative Committee for 12 months’ of sole and exclusive right to source and develop various Halal-related property projects with CMQIP.

公司之子公司,Million Sunray Sdn. Bhd. 與中馬欽州產業園(簡稱“CMQIP”) 區管委會簽訂合作意向協議書 (簡稱“HOA”) ,享有12個月的獨家專有權限,於CMQIP内開發各項與清真有關之產業項目。

HOA has expired in September 2017, after months of futile efforts in promoting and sourcing appropriate partners.

Million Sunray faced various difficulties in garnering enough business interest to further proceed with the Halal Hub concept, hence decision was made to halt the initiative until circumstances improved.

徒勞數月努力促進及尋找合適的合作夥伴後,HOA已於2017年9月到期後終止。

公司在集獲充分商業意向以進一步推行清真中心概念方面面臨各種困難,因此決定在情況有所改善之前停止該項倡議。

31 Oct 2016 The Company’s subsidiary, Regal International Investments Pte. Ltd. incorporated Regal Global Capital Pte. Ltd. (RGC) & Regal Asset Management Pte. Ltd. (RAM), resulting from MOU with Sinad Partners Pte. Ltd. (f.k.a. Sinad Sports Pte Ltd) (SINAD) in Aug 2016, marking the Group’s entry into asset management business.

公司之子公司,Regal International Investments Pte. Ltd. 繼2016年8月與Sinad Partners Pte. Ltd. (原爲 Sinad Sports Pte Ltd) (SINAD) 所簽署諒解備忘錄後而成立 Regal Global Capital Pte. Ltd. (RGC) 及 Regal Asset Management Pte. Ltd. (RAM),初涉資產管理產業。

The Group’s foray into asset management business has been postponed as a result of the exit of Sinad Sports from RAM due to challenging capital market conditions.

RAM has been restructured and renamed Regal Universe Builders Pte. Ltd. on 6 April 2018, to venture into the business of office furniture wholesale and distribution.

資本市場的艱辛環境致使SINAD自RAM中退出,導致公司推遲進軍資產管理業務。

RAM 已於2018年4月6日重組並更名爲Regal Universe Builders Pte. Ltd. ,進軍辦公家具的批發與分銷之業務。

The Company’s subsidiary, Bellanova Sdn. Bhd. entered into a conditional off take agreement for sale of all 276 units of strata titled residential apartments for Airtrollis (phase 3) project.

公司之子公司,Bellanova Sdn. Bhd. 爲Airtrollis (第三階段工程) 的所有276個分層地契住宅公寓單位簽訂承購買賣協議。

In process of obtaining relevant building approvals to commence construction.

Target to start building in 2018 if all necessary licenses and approvals are in place. Updates will be provided in due course as and when appropriate.

正處於取得相關建築批准以開始建築工程之階段。

如所有必要的許可證與批准都已到位,則可在2018年開始施工。公司將適時更新項目近況。

The Company’s subsidiary, Million Sunray signed MOU with iBosses Pte. Ltd. to explore a joint collaboration towards developing an Islamic Entrepreneurship program in Malaysia.

公司之子公司,Million Sunray 與 iBosses Pte. Ltd.簽署諒解備忘錄,携手於馬來西亞合作開發伊斯蘭創業計劃。

The actual implementation of Islamic Entrepreneurship program was assessed to be arduous and untimely. Hence, the MOU expired in March 2018.

經多方評估後,實行伊斯蘭創業計劃不僅艱鉅且不合時宜。 因此,諒解備忘錄已於2018年3月到期後終止。
