Application for Extension of Time to Announce Financial Results for Q1FY2019 / 申請延期公告Q1FY2019之財報
The Board of Directors (the “Board”) of Regal International Group Ltd. (the “Company”, and together with its subsidiaries, the “Group”) wishes to announce that the Company had on 7 May 2019 applied to the Singapore Exchange Securities Trading Limited (the “SGX-ST”) for an extension of time (the “Extension”) to announce its financial results for the first quarter ended 31 March 2019 (“Q1FY2019”).
Pursuant to Rule 705(2) of the SGX-ST’s Listing Manual, the Company is required to announce its financial results for Q1FY2019 by 15 May 2019.
The Company has been eagerly preparing its audited FY2018 financial statements with its auditors. The FY2018 audited financial results which are still not finalized will impact on the opening figures of FY2019 financial results. Therefore, the Company believes that it would be more appropriate and accurate to prepare its FY2019 financial results with opening balances brought over from FY2018 audited financial results, as well as for financial results comparative purposes.
In view of the foregoing, the Company requires more time to prepare its financial results announcement for Q1FY2019 and hope that SGX-ST would grant the Company an extension until 15 July 2019 to complete the financial results announcement for Q1FY2019. The Company believes that the interests of its shareholders are best served by the Extension.
Regal International Group Ltd. (簡稱“公司”及旗下所有子公司統稱“集團”) 的董事會 (簡稱“董事會”) 僅此宣佈公司已於2019年5月7日向新加坡證券交易所 (簡稱“SGX-ST”) 提交申請，延期 (簡稱“延期”) 公告截至2019年3月31日首季度 (簡稱“Q1FY2019”) 之財務報告 (簡稱“延期”)。
依據SGX-ST上市規則第705(2)條，公司需在2019年5月15日或之前公告其Q1FY2019之財務報告。
公司與其審計師們積極準備其FY2018經審核財務報表。然而，尚未最後確定的FY2018經審核財務結果將對FY2019報表的期初數據有所所影響。因此，公司認爲以FY2018經審核財務報表所承前之期初餘額結算的FY2019財務報表將更恰當及精準，亦更適於財務績效對比之目的。
有鑒于此，公司需要更充裕的時間準備其其Q1FY2019之財務報告，并且希望SGX-ST能讓公司延至2019年7月15日完成其Q1FY2019之財報公告。公司相信延期是確保股東權益的最佳途徑。
